$GPU ("GPU Network", "we") operates a marketplace that matches renters of CPU and GPU compute with providers of that capacity. These Terms govern the website at gpu-network.xyz, the marketplace application, the provider agent, and any API endpoint we publish. By creating an account, joining the waitlist, listing hardware, or renting a node you accept these Terms.

We are a broker and settlement layer, not the operator of every machine on the network. Capacity is sourced from three classes, labelled on each listing:

• Community — independent providers running the $GPU provider agent.
• Managed — hardware owned or leased directly by GPU Network.
• Upstream — capacity provisioned through third-party clouds under their own terms.

For community and upstream listings, the underlying operator controls the physical machine. We verify heartbeats and specs where possible, but we do not warrant a third party's hardware, network, or conduct.

You must be at least 18 and legally able to enter contracts. You may not use $GPU if you are located in, ordinarily resident in, or acting on behalf of a person in a comprehensively sanctioned jurisdiction, or if you appear on an applicable sanctions list. One account per person or legal entity unless we agree otherwise in writing. You are responsible for everything that happens under your account, including credentials you share with collaborators or agents.

Access is currently gated. Registration is limited to the waitlist while the network is pre-mainnet, and we may grant, restrict, or revoke access at our discretion during this period.

Each account receives a custodial wallet on BNB Chain (BSC), with additional supported chains for deposits where stated in the app. Private keys are generated and stored server-side in encrypted form; you do not hold the keys. Balances are recorded in a double-entry ledger as available, reserved (locked against a rental), and captured (settled).

You may withdraw available balances at any time, subject to network confirmation, screening checks, and the platform killswitch described in clause 10. Deposits sent on an unsupported chain, in an unsupported asset, or to a superseded address may be unrecoverable. Digital assets are volatile and are not bank deposits; they are not insured by any deposit-insurance scheme.

We do not pay interest on balances and we do not lend, stake, or rehypothecate user funds.

A quote is binding at confirmation: hours × hourly rate, plus the platform fee. Funds move from available to reserved when the rental is confirmed, and release to the provider as the node delivers verified heartbeats. Stopping a rental early releases the unconsumed remainder back to your available balance, typically within one settlement cycle.

You are responsible for the data you place on a rented machine. Treat rented capacity as untrusted for regulated or highly sensitive workloads unless the listing states an equivalent guarantee.

Providers must describe hardware accurately, honour advertised availability windows, and keep the provider agent current. Misrepresented specs, artificial heartbeats, or tampering with rented workloads are material breaches and may result in delisting and forfeiture of unreleased escrow. Providers are solely responsible for their own tax, electricity, licensing, and local legal obligations.

The platform fee is 2.5%, applied at escrow lock for renters and at heartbeat release for providers. Blockchain network costs are passed through at cost. We charge no deposit, withdrawal, listing, or dispute fees. Fee changes take effect prospectively and will be posted on the pricing page before they apply.

Your use must comply with our Acceptable Use Policy, which forms part of these Terms. Verified violations lead to suspension, and where funds are locked against an offending rental, to a return of those funds to the affected party where practicable.

Rental disputes are raised in the rental console and reviewed against heartbeat records, provisioning logs, and connection telemetry. Our determination allocates the escrowed amount between renter and provider. This process resolves the on-platform balance only and does not limit rights either party may have outside the platform.

Compute is delivered on a best-effort basis. There is no fixed uptime SLA; downtime is handled through heartbeat-based refunds rather than service credits. We may pause rentals, withdrawals, or the entire marketplace ("killswitch") where we reasonably believe there is a security incident, chain instability, or legal requirement to do so. We will restore service and communicate as soon as it is safe to do so.

The service is provided "as is" and "as available", without warranties of any kind to the maximum extent permitted by law. We are not liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, lost data, or lost model training time. Our aggregate liability for any claim is limited to the greater of the platform fees you paid in the three months before the claim, or USD 100.

You may close your account at any time after withdrawing available funds and ending active rentals. We may suspend or terminate access for breach of these Terms, suspected fraud, or legal requirement. Clauses covering fees already incurred, liability, and dispute resolution survive termination.

We may update these Terms as the network matures. Material changes will be announced in the app and reflected in the "last updated" date above. Continued use after the effective date constitutes acceptance. This document was last updated on August 2, 2026.
